A senior leader in ADP’s Legal Department, supervising a team of six attorneys and one paralegal and responsible for the following functional areas: (1) mergers & acquisitions (2) corporate business operations and functions, (3) real estate, and (4) offshore operations. Proven record of outstanding transaction execution, compliance and process efficiency. From 2011 to 2015 I was also the general counsel for ADP AdvancedMD, ADP’s former healthcare division. 1. M&A/Securities: Extensive experience with domestic and international M&A transactions, including preliminary strategic considerations, letters of intent, due diligence and negotiation and drafting of all definitive transaction documentation. Responsible for ADP debt offerings and Exchange Act reporting and compliance, including preparation of annual, quarterly and current reports. Representation of all of Automatic Data Processing, Inc.’s corporate departments with respect to ongoing operations, involving leadership of multi-disciplinary groups, such as tax, accounting, procurement, etc. Significant experience negotiating complicated commercial transactions in support of corporate operations. 2. Business and Functional Support. Leader of legal team that supports critical ADP operations, including ADP Marketplace (ADP's award winning human capital management integration platform), ADP's emerging data licensing business, ADP's sales operations and marketing functions, which enables a North American salesforce in the thousands, and ADP's corporate compensation and benefits departments with respect to ADP’s cash and equity compensation plans, and health and welfare plans. 3. Corporate Real Estate. Leader of the legal team that supports the day-to-day activities of ADP’s global real estate organizations, with a focus on process efficiencies and steady productivity improvement. 4. Offshore operations. Supervisory responsibility for attorneys that support day-to-day functions of ADP's operations in India and the Philippines. 5. Former general counsel of ADP AdvancedMD, a provider of practice management and electronic health records software to healthcare providers. Advised the executive team on an ongoing basis regarding the legal issues affecting the business (e.g., HIPAA), as well as executing legal initiatives, including compliance and policy matters, contracting issues, and marketing and public relations.
