Milstein Jackson Fairchild & Wade is a boutique Plaintiff's litigation firm. My role as senior associate involved the following: (1) handled over 60 complex civil cases from inception to resolution including matters in mass tort pharmaceutical, construction and class action, (2) negotiated and structured settlements, often directly with corporate counsel for business defendants to resolve cases in advance of trial, (3) reviewed and analyzed purchase and sale agreements and arbitration agreements, (4) developed a new practice group for the firm and (5) created new programs within the firm to increase productivity including a new performance based bonus structure for staff. I also represented a client in a two week arbitration that resulted in a high six figure verdict against a developer.

As an associate in JMBM's corporate transactional practice group, my role included the following: (1) facilitated mergers and acquisitions including deal structure and negotiating and drafting purchase agreements, (2) counseled clients on corporate finance including debt and equity finance deals, (3) advised general counsel of clients during business acquisitions including risk management, especially how to avoid and defend against lawsuits, (4) drafted agreements and contracts including vendor contracts, non-disclosure agreements, letters of intent, defense and indemnity agreements and offering documents for investment funds and (5) drafted partnership agreements and limited liability corporation operating agreements for new business ventures.
