• 商务拓展、高管支持：陪同总裁参加国内和国际会晤，参与公司要事谈判及战略层面高层决策，代表总裁与公司内部管理层或外部政府机构、公司进行沟通协作，积极拓展建立并维护政府部门、金融机构、战略合作伙伴等良好社会关系。• 战略分析、项目管理：协助制定公司发展战略规划、年度工作、经营、业务发展计划，根据行业和产业周期及特性提出优化集团投资战略及业务体系的合理建议；负责召集或主持公司办公、投资会议，监督公司各项规划和计划的实施。• 投资分析、合同谈判：协助项目投资与兼并，寻求有发展潜力的投资项目，参与超过6个项目的投资全流程，包括项目发掘、尽调、战略协议签署、投资测算模型、合同条款谈判、正式合同签署、项目落地等；一年内成功落地2个项目。• 项目落地、投后管理：参与投资谈判，审编投资合同文件及相关法律文件，定稿投决会资料完成内部过会；完成项目公司成立准备工作，拟订项目公司章程、董监高名单、组织架构等，项目公司成立后持续进行投后跟踪。o 节选部分项目经验：o 某估值超5亿级主题公园的杠杆收购，包括前期尽调、合作模式设计、估值测算、合作洽谈等；o 总投资超15亿知名景区的投资运营权及优先投资权的获取，包括战略协议、尽调、合同洽谈、项目公司落地等；o 某总投资200亿的旅游公路及驿站投资运营项目，包括与国企的合作、项目策划、政企沟通、联合体合作招商等。• Business Development: Accompanied the President to meet with the government or business leaders, maintained relationships and communications, drafted and presented various business documents; Contributed to the sourcing process and developed relationships with both government officials and business owners at over 12 potential M&A candidates.• Project Management: Assisted in developing overall strategic plan and operational planning of the company and monitor the progress.• Financial Analysis: Worked on more than 10 cases, including buy-side M&A, LBO, and managerial right buyout; completed due diligence reports, valuations, merger and LBO models, and various presentations.o Selected Transaction Experience:o Leveraged Buyout (>500 million RMB) of a Zoo park.o Acquisition of the managerial rights of a cinema city theme park.
