At MRH, I was responsible for all legal and compliance matters related to the group's M&A activities, corporate and capital markets transactions, shareholder relations, regulatory obligations, litigation proceedings, compensation/benefits programs, employment law, real estate transactions, intellectual property rights and corporate governance function. I established and managed legal and compliance teams from the ground up and coordinated operational matters across multiple offices and US/foreign jurisdictions, continuing my work from MRH’s start-up phase through its $1.83B merger with Endurance Specialty Holdings Ltd. (NYSE: ENH). As a member of the Executive Management Committee I reported to the CEO.• Following my nomination by the MRH board, my election as a Director of Montpelier Re, MRH's primary operating company, was approved by MRH’s public shareholders. I also served as a director of various US, UK and Bermuda subsidiary companies within the MRH group.• I continued to serve as the chief architect and steward of MRH’s expanding corporate governance function. MRH received recognition by Forbes magazine as one of the 100 Most Trustworthy Companies (and highest ranked Mid-Cap Company) based on transparent and conservative accounting practices and solid corporate governance and management during my tenure.• In the wake of the financial crisis, I was instrumental to the design and launch of MRH's insurance-linked securities (ILS) and alternative asset management insurtech platform with over $750M in assets under management (AUM), including the IPOs of two publicly listed companies (NYSE: BCRH and LSE: BCAI) and the formation of a '40 Act Registered Investment Advisor.• After several terms as a Trustee, I was elected Chairman of the Montpelier Re Foundation, which contributed over $3.5M to local charities over its history.

• As part of MRH's ongoing strategic growth initiatives, I organized the formation of the group's London-based Lloyd’s syndicate and managing agency accounting for up to 35% of MRH’s annual premiums. • I also spearheaded MRH’s expansion of its footprint to the US via opportunistic M&A activity. • Notable litigation results during my tenure included oversight of a ground-breaking arbitration proceeding worth over $75M, resulting in a favorable decision, plus an award of costs. • After an initial term as Secretary of the Montpelier Re Foundation, I was appointed to serve as one of the Foundation’s Trustees.

• I was recruited to be MRH’s first General Counsel in the wake of its IPO on the NYSE. • During this period I led the closing of successful secondary offerings by various PE and founding shareholders and began the ground-up construction of MRH’s compliance and corporate governance programs. • Other major initiatives included the formation of one of the first insurance-linked alternative investment special purpose vehicles (Rockridge Re) and the establishment of a joint venture with the Overseas Private Investment Corporation (OPIC), a self-sustaining US Government agency that helps American businesses invest in emerging markets, to underwrite coverage for terrorism events. • In addition to my expanding list of executive management duties, I was appointed Secretary of the Montpelier Re Foundation, the Charitable arm of MRH.

At AXA I provided investment and risk management advice to corporations, family offices and foundations and HNW individuals. This required mastery of a broad range of asset and private money management options, the design and implementation of insurance-based strategies, the establishment of 401(k) and profit-sharing pension plans as well as group health and benefit plans and advice on tax, retirement and estate planning considerations.

I was a Co-Founder, General Counsel and Operations Advisor to HIPAAssociates, which provided advice and resources for compliance with HIPAA (Health Insurance Portability and Accountability Act of 1996), US legislation that provides data privacy and security provisions for safeguarding medical information.

Modem Media billed itself as "the first internet agency" providing Internet strategy and end-to-end solutions to Fortune 100 companies. They were responsible for the design and construction of some of the earliest corporate and e-commerce websites for multi-billion dollar corporations. As an Account Director, I served as the primary business manager to world’s third largest consumer electronics company and I oversaw all aspects of its $40M global Internet initiative (the largest project in the company’s history at the time with up to 75 people under my supervision), including all project deliverables and measurement of financial performance objectives.

EZCD.com was an early dot.com dedicated to the sales and marketing of independent musicians and recording labels. I advised the founders and seed investors during the company's critical start-up operations. My work encompassed a vast array of responsibilities, including, most notably, the negotiation and oversight of all licensing agreements and content-sharing arrangements.

While in business school, I co-founded XMLaw LLC with several classmates and Yale Law School students and served as the company’s Chief Operating Officer and General Counsel. XMLaw was an early stage Software as a Service (SaaS) provider for the legal industry based on an XML platform. The company was awarded 2nd place in the Connecticut Venture Group Business Plan Contest.

I advised and represented numerous multinational corporations and financial institutions in M&A, commercial lending and asset-backed/structured finance transactions, Chapter 11 proceedings, credit restructurings and divestitures of financially distressed companies, and I served as a representative on the firm's Associates Committee.
