I'm a lawyer and senior legal manager at PwC Legal in Denmark. I specialise and have a particular strength and sector expertise with providing legal advice within venture capital, private equity, as well as M&A and capital markets transactions. I am involved in deals for both multinational well-established or listed clients, business angels, VC funds and fast-growing start-ups – especially disruptive businesses in emerging sectors within the tech space.I have extensive experience within M&A (large and medium-sized), representing sellers and buyers and I advise on all aspects of M&A transactions, including structuring transactions, strategic considerations, completion of due diligence, project and process management and drafting and negotiating transaction documents.I also have substantial experience with advising clients on general corporate matters such as the formation of and changes to corporate structures, incentive schemes and warrant programmes, restructurings, mergers, demergers, disinvestments, buyback of shares and general corporate compliance. Over the years, I have gained a practical commercial business understanding and thus, I deliver quality and pragmatic advice to clients on drafting and negotiating contracts and term sheets etc. within sales and purchasing, equity investments, distribution, development, joint ventures, shareholder agreements, partnership agreements and exits.Further, I have advised several Danish companies on market transactions and assisted in relation to due diligence investigations, drafting and review of company descriptions, preparation and implementation of IPOs, and assisted on several listings on NASDAQ First North Growth Market.
