As general counsel I supported Wright Development Group in all real estate and legal matters including drafting and reviewing real estate transaction documents such as letters of intent, leases, purchase and sale agreements, joint venture agreements, warranty deeds, loan documents, tenants in common agreements, entity formation documents, reviewing title reports, closing statements. I coordinated and managed negotiations with our counterpart lenders, land sellers and purchasers and opposing counsel. I was also directly involved in resolving landlord-tenant disputes and overseeing outside counsel. I worked closely with management to advise on legal risks, business strategies and other issues related to Wright Development's core business.

My work included drafting and filing business formation documents and securities filings, negotiating a broad range of real estate, equipment, asset and equity purchase contracts, and services agreements, including SaaS agreements and other standard corporate contracts.

Represented private equity firms and institutional lenders on various real estate transactions. Experience included work on acquisitions, dispositions, and financings of commercial real estate including office buildings, hotels, and residential multifamily properties and single-family homes. Worked directly with partners and senior associates to draft purchase and sale contracts, loan agreements, joint venture agreements, and ancillary documents and to provide required property-level due diligence.

Performed due diligence on commercial retail leases to identify the respective obligations of landlord and tenant in repairs, improvements, and other building modifications. Reviewed real estate transaction documents in connection with acquisitions and financings. Coordinated with in-house departments on real estate issues and closings.

Researched and drafted memoranda on U.S. constitutional law and Arizona state issues including regulatory takings, home-rule doctrine, election law, and the single-subject rule. Drafted public records requests. Evaluated potential pro bono cases and assisted in developing litigation strategies. Examined administrative actions and case law on selected issues of interest to the institute. Attended court hearings.
