- In charge of the legal department providing services to all Group companies and business units in Mexico (buses, trucks and construction equipment)- Member of the Country Management Team (CMT)- Corporate Law. Attention and conflicts resolution with communal-land-holders (“Ejidatarios”) and execution of Agreements before the Agrarian Prosecutor.- Notary Public and external counsel contracting, supervision and coordination.- Litigation. - Coordinate a team of four lawyers, in charge of the negotiation and drafting of legal documents for the residential business unit of the group.- Drafting, negotiation and analysis of all kinds of Contracts and Agreements with clients and, suppliers: (i) Real estate purchases, lease and loan for use od property; (ii) amendments, non-disclosure agreements (NDA), restructure and terminations, assignments, among others; (iii) memorandum of understanding (MOU), letters of intent (LOI), non-disclosure agreements (NDA).- Setup of administration and guarantee Trusts.- Negotiation, drafting and direct attention to claims derived of contract breaches with clients and suppliers.- Coordination of mortgage cancellations.- Coordination and delivery of public deeds of sold units.- Coordination of out-of-trial and Notary Public notices.- Notary Public and external counsel contracting, supervision and coordination.- Coordination of administrative proceedings.- Coordination of in-house out-of-trial collections.- Litigations and judicial settlements follow-up.

- Legal advisory to all areas, group companies and external clients.- Corporate Law (Incorporation of companies, corporate restructures, mergers & acquisitions, shares purchases, shareholders meetings, board meetings, Proxy Letters, Powers of Attorney, Due Diligence, corporate books, etc.).- Drafting, negotiation and analysis of all kinds of Contracts and Agreements in English and Spanish, with national and international clients, suppliers and distributors: (i) Lease and loan for use agreements, real estate purchase, services, loan, credit, guarantees, mortgages, distribution, information technologies, software license and trademarks license, among others; (ii) amendments, terminations and restructures; (iii) memorandum of understanding (MOU), letters of intent (LOI) and non-disclosure agreements (NDA).- Due Diligence to acquire national and foreign companies.- Administration and guarantee trusts.- Negotiation, drafting and supervision of contract breach claims.- Documents and contract review for participation in national and international investment funds.- Intellectual property registry, before IMPI, INDA (México) and USPTO (United States).- Reply to authorities’ information requirements and administrative proceedings before SE, SEP, CNBV, SHCP, COFETEL, SCT, SEMARNAT, PROFEPA, CNA, SRA, among others.- Public bids, basis review, elaboration and delivery of packages, legal representative in explanatory meetings, contracts execution, etc.- Coordination of in-house out-of-court collections and settlement with clients and distributors.- Notary Public and external counsel contracting, supervision and coordination (national and foreign).- Civil, Mercantile, Criminal, Mortgage, Labor and Administrative litigation supervision (national and foreign).

- Drafting, negotiation and analysis of Contracts and Agreements in English and Spanish, with government entities, national and foreign suppliers, Distributors in Central America and the Caribbean. - Letters of Intent (LOI) and Memorandums of Understanding (MOU) (in English and Spanish).- Contracts and purchase orders Termination Agreements (in English and Spanish).- Commercial negotiations (in English and Spanish).- Review of Purchase Orders and applicable General Terms and Conditions for specific commercial activities, such as logistics & transportation, direct and indirect purchase of material and services.- Participation in the global corporate IT work group.- Legal Advisory to different areas in the company nationwide.- Participate in committees and meetings of the Mexican Automotive Industry Association (AMIA).- National and foreign laws and regulation analysis.- Provide compliance courses and training regarding corporate policies, internal proceedings and Mexican legislation (Corporate Governance).- Due Diligence.- Out-of-court tools recovery nationwide.- External legal counsel supervision and coordination.- Corporate initiatives implementation.- Notary Public proceedings and coordination.- Develop and maintain relations with Federal and State Government Officials (EMP, SE, SSP, SHCP, SEMARNAT, SCT, COFETEL, CONACYT, BANXICO, etc.).- Lobbying to obtain competitive advantages and minimize public policies impact which affect the automotive industry.- Participation in meetings and committees of the Mexican Automotive Industry Association (AMIA) and CANACINTRA.- Analysis, interpretation and follow up of Official Norms, Regulations, Laws, Decrees and other dispositions.- Coordinate activities with State Governments for events and special projects.- Coordination of special sales to top level Government Officials.
