Helped to organically develop and implement a commodity prime services platform primarily targeting hedge funds with strategies in energy, metals, agriculture, freight, alternative, and natural resources. The platform encompassed a “one-stop-shop” approach for hedge funds that included futures clearing, execution, use of a white-labeled risk and trade capture system, full middle and back office support, physical gas and power scheduling support, capital raising, and traditional and non-traditional financing. Additional responsibilities included business lead for global sales and marketing.

Part of management team in weather and energy group with primary responsibility for managing the legal team. Negotiated contingent risk and weather products such as unit outage and gas-temperature products, taking the form of either a derivative or insurance policy. Helped oversee global financial derivative transactions and their internal management throughout various XL business units. Worked with the structured finance group on transactions in the energy industry drafting and negotiating partnership, special purpose vehicle, equity interest and asset purchase agreements. Implemented all policies and procedures for current and expected energy products and worked very closely with credit, treasury, operations, and IT groups.

Was member of senior management committee and helped set up group as a start-up energy trading and marketing company. Provided legal support to this group's departments which included trading floor, origination, financial accounting, credit, operational accounting, confirmations, corporate development, and human resources. Worked on counterparty agreements including ISDA, EEI, WSPP and NAESB.

Began with the company in initial year of business as a start-up company and was able to grow into an integral part of its senior business team. Was member of Board of Directors serving as its corporate secretary. Drafted and negotiated numerous corporate documents including stock purchase agreements, limited liability company agreements, and asset purchase agreements. Was responsible for drafting and negotiating commodity counterparty master agreements, both physical and financial (ISDA, EEI, WSPP and GISB). Created company’s hiring policy, employee handbook, termination policy, and conducted various internal seminars ranging from sexual harassment to performance evaluations.

Started in the initial operation of its electricity trading and origination desk. Was involved with negotiations and strategy regarding legal issues with all counterparty transactions. Negotiated electricity and gas master agreements and transmission service agreements and tariffs. Negotiated parent guaranty documents, net out clauses, and letters of credit. Was taught the energy commodity business from the ground up. Was responsible for all electricity transmission forecasting and purchasing. Worked as the physical scheduler in all of the major trading hubs within the US for 9 months. Aided various commodity desks (gas, metals, coal, and oil) with various trading documents.
