~Reporting to CEO regarding legal (chief legal officer), insurance (defacto risk manager) and compliance (chief compliance officer) matters ~Managing worldwide legal entities in over 25 countries, including board meetings and corporate filings~Serving as secretary to BOD of holding company - setting agenda, substantively presenting on legal, risk and compliance functions, drafting resolutions and otherwise managing on-going issues that require BOD approval~Managing global compliance program including receiving and managing ethics hotline allegations, diligence on third party intermediaries, sanctions issues, and training of employees and third parties~Arranging and implementing a new global insurance program in line with the risk profile of the company covering insurance requirements in over 25 countries with local policies and global master policies~Together with CFO managing financing issues with asset based lending facility in the US, and managing key issues with other international credit facilities~Managing global litigation matters, including intellectual property, contract disputes, environmental claims, employee disputes, and collection matters~Lead team of attorneys and other professionals that support the legal, compliance and risk functions~Lead contract review and approval process, including master service agreements with government controlled oil companies and other oil and gas operators, as well as contracts with vendors, agents and distributors, technology development/license partners, and all other third parties required for an international company~Negotiate lease, purchase and sale agreements for real estate~Navigating environmental spills and remediation with state authorities~Led exit of Gulf of Mexico operations, including asset sales, governmental approvals, sublease of significant mud plant and termination of operations/customer contracts~Regularly advise on sanctions and regulatory issues
