Spearheaded the drafting of all legal documents in connection with the firm’s acquisition of the Conrad Fort Lauderdale, a complex transaction for a distressed property with an all-in valuation exceeding $200MM. Negotiate legalese of hotel management and franchise agreements and various commercial leases and subleases, and confirmed that such agreements properly reflected the business negotiations. Prepare for litigation and draft motions and confidential settlement agreements relating to foreclosure actions, employment law cases, and partnership disputes. Review proformas for new developments. Perform the duties of a contract administrator for two projects, handling condominium sales contract negotiations and overseeing the closing process. Coordinate permit processes with stakeholders at the City of Miami and Miami-Dade County. Represent firm at public hearings for zoning and code compliance matters. Retain outside counsel and direct counsel’s work to effectuate cost-effective advice and representation.
