P&L was ~$400 million, 1000 employees across 40 locations in the US including 8 brick plants, 26 retail locations and 3 design studios.• Managed outside counsel regarding various matters including trademark infringement litigation, contract disputes, product defect claims, and insurance claims against the organization.• Successfully guided the construction and tenant improvement initiatives for design studios on Fifth Avenue in New York City, downtown Philadelphia, and the harbor area of Baltimore along with retail sites in DC Metro, Chicago, and Des Moines. • Assisted internal stakeholders with contract review/negotiation, personnel issues, regulatory violations, high value collection cases and real property matters.• Lead executive for land development joint venture with Goodman North America to build out of 2M s/f of distribution and warehouse on surplus land in Eastern Pennsylvania including permitting, engineering, entitlements, zoning challenges by the township and strategic litigation for retaliatory zoning legislation. The project is valued between $150M and $220M. • Corporate Governance and Corporate Secretary support for the Company’s Australia parent company and numerous acquisition subsidiaries including secretary of state filings, corporate minutes / resolutions, and compliance matters.• Maintained the intellectual property portfolio for the Company and its subsidiaries including USPTO filings, renewals, patent opinions, and advising internal business units on the need to protect tradenames and unique product designs.

Provided leadership through the due diligence process, interfaced with outside counsel and consultants, assisted the Board with communicating critical deal terms to 22 shareholders that needed to unanimously approve the sale.
