Experience includes representation of sellers and buyers in complex stock and asset sale transactions across a wide array of business industries. Counselling on corporate organization, structuring of start-up and joint venture companies, shareholder/operating agreements and other organizational documents and general commercial contracts. Regularly represents lenders and borrowers in asset-based and commercial class loans, first/second lien credit facilities, mezzanine loans and other financing transactions.First Chair and current member of the firm’s Diversity & Inclusions Committee. Member of Associates/Counsel Compensation, Corporate Dept Staffing/Assignment and Opinion Letter Committees.
