Led a team of senior lawyers and professionals responsible for all aspects of McDermott’s risk-based global ethics and compliance program, including anti-corruption, sanctions, due diligence, investigations, and training with the ultimate goal of ensuring McDermott’s compliance with law. Reported to the Chief Legal Officer with independent reporting duties to the Governance and Audit Committees of McDermott’s Board of Directors.- Reported quarterly to the Executive Committee and the Board of Directors on all significant compliance matters; including, in-depth analysis of ongoing key and high-profile matters, overview of program statistics and progress against initiatives. - Provided strategic guidance to the Executive Committee on compliance matters; including, third party selection and partnership formulation focusing on various risk factors and results of due diligence processing. - Administered risk-based and tailored third-party due diligence program, including management of transition from a paper-based program to an online, cloud-based system. - Developed and regularly delivered live training modules focused on pertinent topics and laws relating to anti-corruption, sanctions, anti-boycott, antitrust and insider trading. - Conducted investigations into allegations of illegal activity and breaches of McDermott’s Code of Business Conduct. - Frequent speaker to external industry groups on emerging compliance-related topics.

Responsibility for all legal, compliance and risk matters arising in McDermott’s Middle East Area (“MEA”) operations, headquartered in Dubai, U.A.E., with significant presence in Saudi Arabia, Qatar, Azerbaijan and India. Prior to the combination with CB&I, the MEA was McDermott’s largest concentration of employees and revenue source. - Member of the MEA Executive Leadership Team and decision-making process for all business and operations matters affecting the MEA.- Responsible for MEA legal entity structuring, corporate establishments and overall management of the corporate secretary function, including serving as company secretary to multiple entities.- Managed contractual and compliance relationship with all national agents required for company registration purposes in several Middle East locations. - Managed all litigation matters in the MEA, including multi-year and complex $25mUSD subcontractor dispute resulting in a favorable settlement. - Worked with many Middle East based national oil companies; including, ADNOC Group, Qatar Petroleum and Saudi Aramco. Responsible for drafting and negotiating several billion dollars worth of offshore, upstream oil and gas engineering, procurement, construction and installation contracts with such customers. Drafted, structured and negotiated parallel joint venture or consortium agreements, when applicable.

Lead counsel for major contract negotiations, and dispute, litigation and compliance matters. Drafted and negotiated multiple offshore, upstream agreements, including, a global Subsea framework agreement with BP, a $1bUSD agreement with PDVSA for Subsea infrastructure in the Mariscal Sucre offshore oil field and a master call-off based agreement with Marine Well Containment Company (a JV company of 10 oil and gas operators) to secure standby oil spill containment services in the event of an oil spill disaster in the Gulf of Mexico.

Represented subcontractors in disputes with contractors and owners over workmanship and payment issues.
