 Co-led team of over fifty legal professionals, including lawyers, legal clearance administrators, and contract administrators, responsible for all aspects of production legal services for CBS Studios and Paramount Television Studios.  Developed legal practices and standards for CBS Studios’ new international co-production business and for the Star Trek franchise television series. Supervised negotiation and drafting of agreements in all areas of television production, including services agreements for writers, directors, actors, and non-writing producers; rights acquisition agreements; license agreements; and production-related agreements, such as real estate leases and location agreements. Negotiated and drafted distribution agreements, co-production agreements, production services agreements, security agreements, term sheets, and first look agreements; negotiated and drafted agreements in connection joint ventures. Advised creative and business executives and productions on legal matters related to television development and production, including underlying rights and chain of title issues; distribution and derivative production rights; clearance issues involving copyright, trademark, defamation, right of privacy, and right of publicity; use of artificial intelligence; publicity and promotion; local content rules; and licensee requirements. Collaborated closely with other Paramount Global departments, including Labor Relations, Employment, Risk Management, Privacy, and Corporate, to maintain compliance with guild and legal requirements, establish production standards, and provide transaction support. Managed outside counsel for joint ventures, international development and production, and litigation matters. Implemented technology-based project tracking system and established department education program.

 Negotiated and drafted Ticketmaster’s sponsorship and ticketing agreement with the Beijing Organizing Committee for the 2008 Beijing Olympic Games. Provided guidance to internal business departments, including the Music Services Department, on business development transactions; negotiated and drafted related term sheets, purchase agreements, VIP ticketing agreements, and fan club agreements. Negotiated and drafted software license agreements with concert promoters, venue owners and managers, and sports teams. Negotiated and drafted marketing, advertising, credit card, and vendor agreements.

 Represented public and private companies in mergers, stock and asset acquisitions, and credit facilities; negotiated and drafted all transaction-related agreements. Represented issuers and underwriters in debt and equity public offerings; represented issuers and investors in private placements of securities; drafted offering memoranda and registration statements. Drafted charters, by-laws, shareholder agreements, limited liability company agreements, and stock option plans.
