Advising toward arrangements that further and enhance relationships, I offer assistance in drafting agreements concerning operations, employment, confidentiality, commercial sales, technology and intellectual property rights, credit facilities and corporate reorganization.Focusing in mergers and acquisitions, I counsel both public and private companies in the various stages of the sale or acquisition of a business, including coordinating and conducting due diligence, drafting and negotiation of key transaction and closing documents, and overall management and coordination of the transaction through closing.In the technology and intellectual property areas, I draft and negotiate a variety of agreements involving software license, evaluation and development, maintenance and professional consulting and online software, hosting and cloud-computing.
