Legal counsel for the North American sales operations of $1+ billion medical diagnostics company (formerly Inverness Medical Innovations), with primary responsibility for negotiating and preparing contracts for the distribution and direct sales of professional diagnostic products (branded, OEM, and private label). I managed an increasingly large docket of contracts during a fast-paced period of rapid growth and change that resulted from numerous mergers and acquisitions and an internal reorganization that doubled the size of the company and my workload in less than a year. I shared responsibility for all other commercial contracting, including contracts for manufacturing, research and development, technology licensing, enterprise software systems, government bids, design and engineering services, equipment and property leasing, procurement of goods and services of all kinds, as well as some clinical trial agreements. I advised on contract-related issues, laws and regulations, and shared training and supervision of interns and paralegals. I created and continuously improved contract forms, policies and procedures and developed the first comprehensive database of all North American contracts. I co-counseled the establishment of a single new North American entity to consolidate product sales by eight formerly independent subsidiaries and I led the unification of their contracting processes. I successfully negotiated resolutions to several major contract breaches and disputes without litigation.

I successfully led the legal work on this supply chain management company's 3-month project to negotiate contracts for software replication, license verification and related e-commerce services with each of about 20 leading computer manufacturers worldwide to support their launch of Microsoft’s Vista operating system. This required round-the-clock work with business teams and attorneys in Europe, Asia and North America to meet a tight and inflexible deadline. I was recruited for this position based on my work for ModusLink's predecessor, Modus Media, 2000-2002.

As contract counsel for this medical software company, I assisted the general counsel with pre-IPO preparations and successfully co-negotiated a previously stalled multi-million dollar license and reseller agreement for use of the company’s medical management software in the UK.

As counsel for this global supply chain management company serving major computer manufacturers and other high tech companies worldwide, I negotiated and drafted complex service contracts for product manufacturing, packaging and fulfillment, warehousing and logistics, ecommerce website development and hosting, call center support services, software licensing and replication. In addition, I negotiated numerous foreign security interest agreements under the master credit agreement and managed corporate governance for several foreign subsidiaries.

As contract counsel for global supply chain management company serving high tech customers, I negotiated a large volume of complex agreements for inbound goods and services and for outbound supply chain services such as product assembly, kitting and fulfillment, ecommerce website development and hosting, call center support services and software replication and licensing.

As counsel at this corporate law boutique during the dot-com boom, I prepared private equity financing documents for numerous tech start-ups and assisted with business formations, shareholder and partnership agreements, commercial contracts, mergers and sales of businesses and other corporate matters.

I assisted this small development stage pharmaceutical company with critical financings, from pre-IPO partnership roll-ups and late-stage private investments through its IPO and secondary public offering. Post-IPO, I assisted with the company's public reporting obligations (10Ks, 10Qs, Section 16 compliance), annual shareholder meeting process and proxy statements, and insider trading compliance. I set up and managed its pre-IPO stock and option administration system, oversaw employment law matters and assisted with board and stockholder actions, meetings and other corporate governance matters. I also worked on clinical trial agreements and inbound supply and service agreements.

As a first and second year corporate law associate with this large Boston firm, I worked on a wide variety of business transactions, including purchases and sales of businesses, mergers and acquisitions, commercial loan agreements and workouts, and major business bankruptcies, as well as conducting research and writing on related issues. I was also a summer associate at the firm in 1990.
