Kevin Boardman is Co-Chair of the Private Investment Funds Group at McGuireWoods LLP and a fouding partner of the firm's Dallas office. Kevin represents sponsors of private equity funds, venture capital funds, real estate funds, hedge funds and other private funds in connection with fund formation, regulatory compliance, and investment and buyout transactions. He also represents institutional investors in connection with their investments in private funds. Kevin's range of experience in representing private investment fund sponsor and investors includes: • advising sponsors in the structuring and formation of a variety of onshore and offshore funds, including buyout, real estate, mezzanine, venture capital and hedge funds; • representing institutional investors, including foundations, life insurance companies and sovereign wealth funds, in connection with their investments in private funds; • advising sponsors in their day to day internal operations, including structuring and development of management company and general partner compensation and carry sharing structures and day to day compliance matters; • working with sponsors on bespoke structures as alternatives to traditional funds, including joint ventures, programmatic joint ventures, funds of one, and separately managed accounts; • representing independent sponsors in structuring their investment and acquisition vehicles and related fundraising matters on a deal by deal basis; • registration and compliance under federal and state investment adviser and other securities laws and regulations; and • structuring and executing a wide range of investment and acquisition transactions on behalf of private equity and venture capital funds, including leveraged buyouts, acquisitions and divestitures, control and minority investments, venture capital investments, growth equity investments and recapitalization transactions.
