Financial Restructuring Firm Skokie, Illinois, 1998-2004Founding Member and Managing DirectorAs a Founding Member and Managing Director of Casas Benjamin & White, LLC, I specialized in financial restructurings, bankruptcy counseling, operational assessments, mergers, acquisitions, and divestitures on behalf of creditors and debtors. My industry experience was diverse and included distribution and logistics, manufacturing in the fields of automotive and metal containers, heat treating, telecommunications, technology, death care services and health care services. In connection with the various firm engagements, we provided organizational assessments, crisis management and decision support, cash management and control oversight, development of operating and capital restructuring plans, as well as execution of same, merger, acquisition and divestiture advisory support, litigation support, valuation analyses and bankruptcy advisory support.

Healthcare Delivery System Multi-state operations. 1996-1998Executive Vice President - Corporate Development, General Counsel and SecretaryAs a member of the Senior Management Team, I participated in strategic planning and provided operational support to the multi-state healthcare delivery system. During the term of engagement, we achieved significant improvements in EBITDA and successfully achieved the controlling shareholder’s liquidity objective. I was principally involved in financial and operating analyses, as well as due diligence, transaction structure, contract negotiations and operations integration.

Healthcare Services Company Northbrook, Illinois, 1993-1996Corporate Counsel/ Health Plan ContractingAs a member of the physician practice management mergers and acquisitions team, I provided legalsupport in connection with the investment of $500 Million in mergers and acquisitions which createda division with annual revenues exceeding $1 Billion. I also provided legal support to the oncology, nephrology, physical therapy, and home care businesses, including the consummation of over 120 clinic acquisitions and the subsequent divestiture of these ancillary businesses. I was also principally involved in network development and health plan contracting, as well as participation in the development of IPA management product design and related business development activities.

Law Firm 1989-1993AssociateAs an associate in the corporate transactions area, I was involved in numerous mergers, acquisitions,divestitures, and related financings, as well as, initial public offering transactions, going privatetransactions and public offerings of tax-exempt debt and high yield bonds. In addition to my transactionexperience, I was also involved in the firm’s litigation practice, including principal involvement in FederalAntitrust litigation involving violations of the Sherman and Clayton Acts as well as violations of the statefranchise laws and Federal Securities litigation involving 10b-5 claims. Activities in the litigation practice included drafting pleadings and discovery requests, deposition practice and motion practice, including successful motions for summary judgement.
