Recipient of CEO Award of Excellence, SAS' highest honor based on peer nominations for accountability, passion, authenticity and curiosity.Key Responsibilities:• Lead strategic Legal and cross-divisional initiatives related to customer contracting and IPO-readiness in partnership with executive team.• Provide guidance to global attorneys on contract negotiations, risk management and intellectual property (IP) protection.• Manage international Legal team responsible for knowledge management, product and pricing, channels (partners, resellers and distributors), Internet of Things (IoT), and service provider negotiations.• Create new global customer agreement templates for software licenses, SaaS, cloud, and services. See https://www.sas.com/en/legal/software-services.html.• Automate Legal processes, implement contract lifecycle management (CLM) solution and click agreements. • Facilitate change, communication, and training for Legal and Sales.Contracts:• Support Sales and negotiate agreements with customers in transportation, media, hospitality, gaming, financial/banking and government sectors in the US, Mexico, Brazil, the Middle East, and the Caribbean.• Create negotiation playbooks for global Legal, including licensing, hosting, services, warranty, indemnity, security, and privacy / GDPR topics.Product:• Evaluate new product proposals including in-licensing and go-to-market strategy.• Collaborate with pricing team on creation of a corporate product catalog.Corporate Governance / Compliance:• Partner with SAS Finance and Tax on ASC 606, transfer pricing, audit and intercompany transactions. • Provided corporate governance counsel, including annual reports, corporate minutes, signature authority, opening and dissolving entities outside of the US.• Support public tender needs, including sole source certificates, parent guarantees and bid bonds.• Collaborate with Compliance team on risk mitigation, export restrictions, and investigations.
