Commercial Paralegal
CurrentI am currently working within the Commercial Department assisting with commercial finance transactions and corporate acquisitions. Daily duties include, but are not limited to: Lender, Borrower, Buyer, and/or Seller representation; Review of and/or drafting of Lender commitment letters, term sheets, and loan documents such as Mortgages and Notes; draft Real Estate Purchase, Asset Purchase, Modification, and/or Stock Agreements; Research of property zoning law and ordinances with the Commonwealth of Massachusetts and Northern Connecticut cities and towns; Draft and/or review leases; Obtain and review corporate authority documents to make sure said entities are in compliance with state law; file and/or review Uniform Commercial Code filings; Order necessary due diligence and closing deliverables pursuant to each transaction such as Municipal Lien Certificates, Plot Plans/Surveys, Property Title Abstracts, and Title Insurance Policies; Review necessary due diligence for each transaction such as permits, contracts, title work and insurance; Prepare closing packages and binders for closing, provide closing day due diligence and correspondence; Conduct post-closing due diligence as needed for each transaction; Oversee the junior paralegals, assistants, and interns within the Commercial department and delegate work out as necessary; Provide training to new hires within the Commercial department; Sit on firm committees dedicated to providing input into successful work environments and provide or revise current or new firm policies; From time-to-time, assist in-house Attorney responsible for title examinations, providing research for requested property title abstracts from the respective registry public search; E-record Mortgages, Deeds, Discharges and other necessary documentation regarding conveyances and/or release of liens via Simplifile. Programs I work with daily are Outlook, Microsoft Office; Word and Excel, and ProLaw.
