• Provide legal support to industrial field services startup regarding formation, financing, management, incentive compensation structure, operations, and contracting.• Assist tobacco distribution company with licensing, contracting, product packaging, and operations.

• General Counsel for fast-growth, entrepreneurial, Texas-regional, diversified, private medical, restaurant, and real estate holding company comprised of approximately 60 operating entities.• Oversee and coordinate all legal functions for complex, multidisciplinary medical holding company, including doctor’s practices, clinics, and startup of two large hospitals in 3 years.• Counsel management regarding acquisition, startup, operations, litigation, healthcare compliance, medical malpractice claims, insurance coverage and claims, human resources, corporate structure, purchase of debt instruments, due diligence, financing transactions, and divestiture of assets.

• General Counsel/In-House Counsel for medium-sized, diversified, private medical holding company.• Counsel and assist C-suite executives as an integral part of operations, strategic planning, financial analysis, and risk management by implementing appropriate strategies internally and through supervising outside legal counsel.• Provide outstanding legal support across twenty-five operating entities, including ten imaging centers, two ambulatory surgery centers, and ancillary doctor’s practices, controlled by medical holding company with diverse legal issues such as: entity formation and operation, contract drafting, review, and negotiation, provider credentialing, responding to Texas Medical Board inquiries, real estate purchases and leasing, landlord and tenant disputes, insurance coverage analysis, medical malpractice/incident investigation, startup of new ventures, due diligence review, divestiture and acquisition of assets, healthcare law compliance, mediation and arbitration proceedings, and litigation support.• Establish policies, procedures, and conduct employee training for submission of billing claims and responses to inquiries from various stakeholders, including insurance companies, attorneys, and other medical providers.• Manage all personal injury billing and collection of accounts receivable activities while directing the efforts of ten full-time, direct-report staff for sixteen company-controlled healthcare companies.• Negotiate and approve patient medical bill settlements with patients, attorneys, medical funding companies.• Supervise, implement, and direct responses of five medical records custodians.• Supervise and coordinate various interactions with captive Hospital Outpatient Department.

• Negotiate settlement of disputed change order charges between subsea pipeline fabricator and Shell Oil Company.• Provide due diligence support for firm clients regarding pending and proposed transactions.• Serve as primary drafting counsel for large regional telecom corporation’s (one of Houston’s largest privately -held telecommunications equipment and installation service provider) asset acquisition of a competitor, drafting all required corporate documents, asset purchase agreements, and ancillary transfer documents.• Plan and implement various business transactions for firm clients, including formation of various types of business entities, mergers, acquisitions, stock sales, asset sales, contract negotiation, drafting and disputes, commercial real estate closings, and hearings before administrative bodies.• Represent firm clients in state district and justice courts in Harris and Fort Bend County, Texas.• Maintain face-to-face client communication regarding pending matters

• Analyze regulated rate of return for large investor owned electric utility.• Provide analysis, support, draft testimony and briefs for filing with Texas Public Utility Commission (“PUC”). • Analyze and review regulatory compliance filings in contested and uncontested cases before the PUC, including rulemaking proceedings, CenterPoint Energy’s $4.3 Billion stranded cost recovery true-up filing, utility rate change applications, interim transmission cost of service update filings, environmental cleanup costs determination proceedings, earnings monitoring reports and transmission cost recovery factor adjustment notice filings.• Manage legislative tracking of all proposed Texas state tax legislation, including House Bill 3 franchise tax amendments, local property tax and state and local sales and use tax proposals and calculate the projected impact on the company.• Determine company position on all tax-related legislative proposals and draft amendment/compromise language on high priority legislation, working closely with company’s five internal lobbyists.• Present and pursue company position to and through industry lobby groups, including the Association of Electric Companies of Texas and Texas Taxpayers and Research Association.• Attend all state legislative hearings on priority tax and budget legislation in Austin, Texas during 78th and 79th Legislative Sessions.
