Tax Counsel
My primary responsibilities are to determine how the tax code impacts members, work to generate consensus on tax treatment and ultimately achieve legislative or regulatory changes beneficial to members. During the tax reform process of 2017 I was heavily involved with the review of legislative proposals put forth by the House and Senate, drafting proposed legislative language, meeting with Congressional and Treasury officials to discuss the proposed legislation and working with members to help them understand the new elements of the tax code. Areas that received particular focus were the deemed repatriation under section 965, the implementation of the new GILTI and BEAT taxes, the interest limitation provision and the new divided exemption system. For each of these issues I worked closely with the tax departments of the members in order to better understand how their businesses would be impacted and how the legislation could be better drafted. In 2018 my work has focused on impending regulations to be issued by Treasury covering all areas of the new tax legislation. In particular I am focused on the drafting of API's proposed regulatory language which represents the consensus view of its members as well as our outside consultants. In addition to my work on federal income tax legislation and regulations I frequently work on excise tax issues. Examples of these would be 4081, the Oil Spill Liability Trust Fund and numerous credits. Lastly, I am in charge of organizing the annual API forums on federal income tax and federal excise tax. I create the agenda of topics to be discussed, work to obtain speakers for each of those topics and generate material which is distributed among the attendees.
Adjunct Professor
Senior - Partnership And Indirect Tax Groups
As a Senior in EY's Partnership and Real Estate taxation group I worked on a range of clients ranging from REITs in the field of telecommunications to traditional real estate clients with investments around the country. Within my compliance duties I performed both federal and state tasks. I also participated in the structuring of various investments, conducted research at the federal and state levels, performed financial due diligence and analyzed various proposed structures to minimize tax liabilities. While a member of the EY Indirect Tax team I worked on a combination of sales and use and income and franchise engagements. Examples of sales and use tax work I have performed include researching issues relating to bundled transactions associated with computer software and hardware and reviewing a sales and use tax reserve in a client's financial statements to determine whether the amount was materially misstated. A majority of my work with Indirect Tax related to income and franchise taxation. I was involved with an on-going project relating to the acquisition of a Tennessee entity by a New England corporation. The work associated with this project included the preparation of a memo covering franchise and excise tax obligations in Tennessee as well as the production of research relating to filing requirements around the country.
Experienced Tax Associate - Partnership Tax
I was primarily responsible for tax compliance relating to real estate asset management funds. The funds I worked on consisted of both partnerships and Real Estate Investment Trusts (REITs). My primary duties included the analysis of financial information provided by the client, preparation of workpapers, research of relevant tax laws and regulations, interaction with client contacts and the production and filing of tax returns. I also worked on tax compliance on behalf of private equity funds. These private equity funds were exclusively in the form of partnerships and my work related to the production of the relevant tax forms for filing.
Associate
As an associate in the Project Finance group I drafted certificates, reviewed and drafted language for an Accounts Agreement, drafted language for a Security Agreement, and reviewed other documents for a major French bank loan to a private equity group. I also reviewed and assisted with the preparation of an Offering Memorandum, Preliminary Offering Memorandum, and Indenture, and drafted comfort letters for a bond offering. I also reviewed a “Roadshow Presentation” created by a Swiss bank to be presented to potential bond purchasers.
Summer Associate
Assisted with the closing of a loan to a wind farm developer in Upstate New York, and prepared a monthly "Toll Road Update" for use in a business development project.
