MBCC Group is one of the leading suppliers of construction chemicals and solutions worldwide and has emerged from the former BASF Construction Chemicals business after its acquisition by Lone Star, a global private equity firm.• Heading the Legal and Compliance department of the Europe, Middle East, Africa and Asia Pacific regions.• Group Subject Matter Expert (SME) for Mergers & Acquisitions.• Led the Legal workstream function on a group project, by which Sika has signed a definitive agreement to acquire MBCC Group from the Lone Star Funds, for a consideration of EUR 5.2 billion.• Currently assisting the group in planning the integration of the MBCC acquisition by Sika, following the closing of the transaction on 2 May 2023.• Leading and managing the daily function of a high performing multi-jurisdictional team of legal counsels and paralegals (based in Germany, India, Indonesia, Japan, United Arab Emirates and Egypt).• Overseeing the implementation of the Group Compliance protocol in the EMEA and APAC regions (investigations, Ethics trainings, etc).• Supporting business departments in negotiating and concluding a wide range of commercial contracts and business arrangements across the EMEA and APAC regions.

• Headed the Legal and Compliance department of the AMEAP region and looked after the daily legal activity pertaining to companies in nearly 30 jurisdictions.• Group Subject Matter Expert (SME) for Mergers & Acquisitions. Lead counsel responsible for bringing group acquisitions to the finish line. Acquisitions completed: Bluey technologies Pty Ltd (Australia and New Zealand), Nautec Group (Malaysia, Singapore, Mexico, Brunei).• Overseeing the implementation of the Group Compliance protocol in the AMEAP region (investigations, Ethics trainings, etc).• Supporting business departments in negotiating and concluding a wide range of commercial contracts and business arrangements across the AMEAP region.• Developing and implementing a new Corporate Governance operating model for the AMEAP region, comprised of systems of rules, distribution of responsibilities, practices, and processes by which the AMEAP companies are currently governed (authority matrix, delegation of authorities, reserved matters, etc).

• In charge of the Legal function in ORA (Africa, Middle East, Turkey, CIS) and Asia Pacific.• Paved the way for the successful carveout of the BASF Construction Chemicals business and managed its transfer from BASF to the Lone Star Funds.

• Headed the Legal department for the Middle East & North Africa regions (covering Lebanon, Syria, United Arab Emirates, Qatar, Jordan, Iraq, Kingdom of Saudi Arabia, Kuwait, Oman, Bahrain, Egypt, Libya, Tunisia, Morocco and Algeria).• Advised the MENA management on different transactions (corporate restructuring, acquisitions, joint ventures, etc) and legal risks associated with potential business deals.• Headed the Ethics & Compliance department for the MENA region: Established policies and ensured that ethical procedures are implemented and constantly adhered to throughout the organization.• In charge of the deployment of the Compliance program (Sapin II law guidelines, Anti-Corruption / Competition laws trainings, KYC / Background checks, Whistleblowing system, Code of Conduct).• Served as Secretary and Member of the Board of Directors of Air Liquide Middle East and North Africa. Invited the Board of Directors to convene and supervised the implementation of the decisions rendered.• Provided legal support in:- The incorporation of subsidiaries (LLCs, Branches, Establishments, Free Zone companies, General Partnerships, etc).- The creation of joint ventures: in charge of the overall process, up to the execution of the different contractual documents related to the transaction (including Shareholders Agreements, Memorandums of Association, etc).- Negotiating and structuring a number of large mergers and acquisitions of regional industrial gases companies (Share Purchase Agreements, Business Transfer Agreements, related agreements, etc).- Drafting any and all agreements as required by the business departments across the region (onsite contracts, short and long term supply agreements, sale of equipment, distribution agreements, framework agreements, etc).- Human Resources-related matters, including labor disputes, employment contracts, advice on labor law provisions.- The implementation of the Corporate Governance principles and guidelines.
