I focus my practice exclusively on commercial real estate, representing investors, developers, major corporations and other real estate owners and tenants in commercial real estate transactions, including acquisitions, dispositions, financings, real estate joint ventures, commercial leasing transactions and online auctions. I have experience in executing multi-site, multi-jurisdiction acquisitions, dispositions and financings, including numerous sale-leasebacks. In today’s market, I am increasingly working with clients on optimizing asset value through lease restructuring, renegotiation and renewals, in both Chapter 11 bankruptcies and out-of-court restructurings. I frequently serve as Pennsylvania local counsel for real estate transactions and financings, including borrower opinion letters. At CBV, I was responsible for executing the day-to-day activities of CoveredBridge’s real estate investments and consulting engagements. I provided transactional project management and closing execution for CBV’s investments, including handling all aspects of CBV’s acquisitions, due diligence, and property sales. I also oversaw execution of asset management business plans and manages real estate operations post-closing. As part of CoveredBridge’s advisory business, I provided seasoned, executional leverage to clients by assisting them in due diligence and execution of new transactions, as well as providing project and asset management to investment teams. As a consultant with a real estate law background, I provided interdisciplinary analysis and evaluation of a transaction and was able to interface directly with external counsel to streamline and enhance deal negotiation, diligence and documentation. My primary emphasis at Klehr Harrison was on real estate related M&A work, portfolio transactions and sale leasebacks. I oversaw the acquisition, disposition and management of more than 1,800 properties and negotiated sale leaseback transactions involving more than 300 properties, including 15 manufacturing assets. While at Klehr, I managed transactions involving a wide variety of assets, including retail, restaurant, parking, convenience store and gas station, office, warehousing and industrial and represented a national private equity firm in its real estate activities related to:- The acquisition and financing of a 530+ restaurant chain, including the renegotiation of a 100-property lease portfolio with a REIT landlord.- The acquisition of Friendly Ice Cream Corporation, and the simultaneous sale leaseback of 116 fee and ground-leased restaurants.- The acquisition of 600 Boston Market locations, and the simultaneous sale leaseback of a portion of the portfolio to a REIT landlord.- The acquisition of a 73-store barbeque restaurant chain, and the simultaneous sale leaseback of 30+ restaurant locations.- The acquisition of a controlling interest in The Limited, a national clothing store chain with a 275+ retail lease portfolio.- The acquisition of a 270-store mid-western supermarket and convenience store chain and the subsequent sale leaseback of a portion of the portfolio.- The acquisition of convenience store and gas station chains, and the simultaneous or subsequent sale-leaseback of the portfolio’s properties.- The acquisition of seven manufacturing companies, including the acquisition of more than 30 industrial facilities.
