Direct report to the Executive Vice President who:• Served as lead counsel to the International Licensing and Alliances group (“ILA”). As an integral member of the ILA team, successfully assessed potential international media licensees, concluded licenses and related agreements for more than 140 licensees per term. During tenure, licensing business expanded from in 5 languages to 40, published in 80 countries, with approximately $14+ million total revenue. Managed National Geographic’s relationships with multi-national, multi-media licensees and IP portfolio globally;• Served as lead counsel to the National Geographic Kids and National Geographic Little Kids publishing teams, managing all legal aspects related to publication and promotion including agreements with Unilever and Guinness World Records and content licenses to companies such as DreamWorks and Jeopardy;• Managed general corporate/operational and compliance matters, preparing corporate governance documents, counseling executive management on legal and business matters, drafting and negotiating leases, as well as production, services and vendor agreements, managing outside counsel and training junior attorneys, legal assistants and summer interns.

Hotel development attorney responsible for structuring, negotiating and documenting the acquisition/transfer of real property, trademark licensing, financing, construction/renovation and management of domestic and international hotels, resorts and casinos for Marriott, Ritz-Carlton, Renaissance, Courtyard by Marriott and Marriott Residence Inn brands. Structured and negotiated joint ventures and other debt and equity participations. Assisted with the assessment of additional potential chain acquisitions.

Senior attorney at a 150+ professional firm handling complex commercial transactions, including real estate, asset and stock purchases, hotel acquisitions, telecommunications, leasing and build-outs, tenant negotiations, workouts, foreclosures and permanent financing; drafted and negotiated documents including purchase agreements, deeds of trust, security agreements, leases, joint venture agreements, management agreements, consulting agreements and legal opinions; responsible for working with title insurance companies, surveyors and environmental study groups in connection with real estate sales and other transfers and the perfection and release of liens; formed and represented business entities including joint ventures, partnerships, corporations and limited liability companies in connection with land investments.

Drafted and negotiated documentation for initial financing and restructurings for loans secured by real estate on behalf of national lenders and real estate developers including purchase agreements and finance and security documentation. Worked with title insurance companies, surveyors and environmental study companies on all closing matters.
