• Financial Statement Analyses (balance sheet, income and cash flow statements) using both technical and analytical skills on the financial and operational information of companies subject to disposal • Working in multidisciplinary teams and management of advisors (e.g. financial and legal due diligence services providers and commercial banks) • Buy-side due diligence covering commercial analyses of the business and its operations. This includes discussions with the management of the company (primarily the CEO and CFO) in order to assess the key value drivers behind maintainable profits and cash flows • Identification of potential acquisition opportunities• Analysis of deal structuring towards potential fulfillment of mergers, acquisitions and disposals of entities as determined within the group mandate • Valuation assessment according to IFRS 3 application of the acquisition method for each business combination and Goodwill allocation (Purchase Price Allocation) • Transaction related regulatory compliance with JSE Listing requirements • Competition Commission merger applications • Managing of external and internal sources of funding and the capital structure of the holding company including its subsidiaries • Review of legal and financial agreements as part of transactions• Assistance in the management of offshore funds through offshore entities including the management of internal investment and funding structures• Conducting and reporting on due diligence investigations on potential strategic acquisitions for the Group• Fixed property acquisitions and disposals • Development of Group wide policy• Post-acquisition implementation and integration management• Systems implementation

• Due Diligence Assistance. This includes discussions with the management of the company (including the CEO and CFO) in order to assess the key value drivers behind maintainable profits and cash flows• Preparation of valuation opinions for private companies using mainly the Discounted Cash Flow (DCF) approach • Preparation of forecasts and budgets to assist in the valuation process

• Completion of assurance engagements that comply with the requirements of International Standards of Auditing (ISA’s) and the firm’s risk management practices• Compilation and review of general purpose financial statements in accordance with the requirements of International Financial Reporting Standards (IFRS) and the Corporate Law requirements• Preparation and review of corporate tax computations for income tax and financial accounting purposes• Planning of assurance engagements, which include staff resourcing and the preparation of audit budgets and the negotiation of audit fees with clients• Serving as the primary liaison with the audit partner and the client on all assurance matters, this includes discussion of the audited financial statements with the CFO and directors• Management of engagement teams (between two to eight team members), including the delegation of work to appropriately qualified and experienced team members• On-the-job training of junior staff members and the completion of performance appraisals
