Larry is a public company general counsel & business executive with 40 years of experience in domestic/global environments. A strategic leader/advisor to peers & boards, he has guided them through complex SEC and DOJ issues on securities regulations and foreign corrupt practices. His expertise in board governance, M&A, intellectual property/brand protection, mitigating risk & building high-performing legal teams has informed all his work.Larry is an Ingram Micro Director & served as Director on the Pacific Research Institute board.As EVP, Secretary & General Counsel at Ingram Micro, and reporting to the CEO, Larry led all aspects of the global legal function, including ’34 Act reporting, M&A, transactional/financial agreements, litigation/dispute resolution, internatl regulatory compliance, risk mgt & corporate governance. Directing 70+ global attorneys, he supervised regional/functional counsel & corporate security; supported all Board activities, including two successful CEO transitions. With the CEO, he was a principal liaison between mgt & the Board, advising on Board governance. He guided the Board in the sale of the company to the HNA Group, enabling the $6Bn deal to go through by overcoming CFIUS concerns over natl security & advising on board governance re. compliance issues. Larry significantly contributed to accelerating organic growth by supporting an aggressive acquisition strategy that led to a 23% increase in revenue between 2012–2014 (BrightPoint, Tech Pacific Group & 10+ additional acquisitions).While at Ingram Micro, Larry successfully resolved 2 large regulatory matters: an SEC investigation of a channel partner’s earnings manipulations resulting in a fine but no lawsuits nor impact to the company’s stock value; & handling a large SEC/DOJ FCPA investigation resulting in no fine or deferred prosecution agreement. He improved FCPA-related compliance practices enterprise- and industry-wide.Larry has an AB & a JD from Stanford.
