Lauren practices in the following areas of the law: Business Transactional Law-structuring and implementing business ventures with entity formation including, but not limited to, S-Corporations and Limited Liability Companies; -negotiating, drafting and advising on the implementation of third party contracts such as licensing agreements, independent contractor agreements, lease agreements, non-compete agreements, buy-sell agreements for clients in a broad range of industries including manufacturing, software development and healthcare services;-ensuring compliance with SEC regulations for securities offerings; and -planning and implementing multi-million dollar mergers and acquisitions through stock purchase and asset purchase agreements while coordinating financing with lending institutions.Employment Law-Assisting clients with employment matters such as asserting employment discrimination claims as well as wage and hour complaints for individuals and defending against such claims for business owners through written and oral negotiations with representative from employer companies, the North Carolina Department of Labor and the North Carolina Division of Employment Security;-analyzing the classification of exempt and non-exempt employees; -drafting employment manuals, employment agreements and non-compete agreements; and-planning and developing strategic policies and procedure while ensuring compliance with applicable statutory and case law and educating clients regarding the same.Estate Planning and Administration-drafting wills and trusts with tax planning considerations; and-consulting and assisting clients with the intricacies of estate administration procedures.
