Finance matters: Represented Mexican and foreign clients including financial institutions, governments and companies for finance deals, asset securitization transactions (tax income, toll roads, real estate income and commercial receivables), project finance deals and public-private partnerships. Clients varied from a wide range of industries including infrastructure, construction, public transport and energy finance. Regulatory / Fintech matters: Counsel to Mexican and international clients for the incorporation and filing of licenses to operate as a regulated entity such as SOFOMs, money transmitters and fintech companies before different regulatory agencies, including CNBV, Banxico and Condusef. Advised clients on business plan structuring, client and supplier agreements, terms of service, KYC/AML manuals and policy documents, data privacy issues and other compliance matters in consistency with regulatory requirements.Corporate law matters: Advised Mexican and foreign clients for the negotiation and drafting of joint-ventures, corporate governance structures, lease agreements, real estate trusts, mergers and acquisitions, investment agreements, shareholder agreements and other corporate matters. Administrative law matters: Counsel to state and local governments for the drafting and negotiation of legislative bills and amendments to be passed into law. Analysis of laws, administrative directives and other policy documents in order to propose drafts for new laws or regulations including the negotiation and drafting of bills and other regulatory documents. Provide advice in procurement processes for governments for financial transactions, derivative transactions (SWAPS), public infrastructure and public transport matters, among others.
