As a Baltic coordinator I was responsible for delivering Pan-Baltic legal input to all business projects in the investments / securities area. This required first to facilitate the adoption of common, solution-oriented mindset within a team consisting of 11 lawyers, and then agreeing on ways of working to ensure prompt delivery of legal input from 3 countries when requested. Most important projects include setting up legal support framework for MIFID2 implementation project, drafting fully new contractual documents for the provision of discretionary portfolio management service, drafting and negotiating various outsourcing arrangements within the bank consolidation group, coordinating the provision of legal support to numerous legal compliance projects (MIFID2, PRIIPS, EMIR, Dodd-Frank etc.), setting up first employee pension program in the Baltics (where I coordinated both investment and HR lawyers of 3 countries).

Working as a first-time manager I was on one hand responsible for leading a team of 5 securities lawyers, and on the other hand dealing with various special projects and taking care of ad hoc issues with above average impact to the bank. Most important projects that I led or served as a key contributor include the drafting of the proposal of the first Estonian Covered Bond Act (including its explanatory memorandum) on behalf of Estonia Banking Association (2012-2016), coordinating the activities of teams tasked with handling of multi-client disputes of the bank (including bad publicity and class action cases), as well as lobbying for several legislation amendments intended to serve the interests of the bank, banking sector, retail investors or general legal clarity.

Firstly I was responsible for providing full legal support to investment and pension funds business, focusing 2008-2010 on the restructuring of the investment portfolio of then-only high-yield investment fund in the Baltic States. Secondly I was responsible for advising securities brokerage and trading business, as well as the investment banking / corporate finance business. Thirdly I was responsible for advising the retail investment advisory services.

I was responsible for drafting the proposal of the Estonian Covered Bonds Act together with its explanatory note on behalf of Estonian Banking Association and being the primary counterparty to the Ministry of Finance in unofficial and official negotiations and feedback about the content of the draft law.

I was responsible for coordinating the drafting of feedback to the draft law implementing MIFID2 Directive and its Implementing Directive. I was also responsible for arranging and leading meetings to discuss interpretational matters and promoting the formulation of joint understanding in key investor protection issues.
