Current- I specialize in counseling startup companies in areas of corporate formation, corporate and securities laws, mergers and acquisitions, and other strategic business arrangements. - I focus on venture capital financings (representing numerous startups from the xUSSR, including many YCombinator companies, and some of the leading xUSSR venture funds). - I have substantial experience in venture capital fund formation and regularly advise both General Partners and Limited Partners on structuring matters, setting proposed terms and conditions, and investor due diligence and negotiations.- I am experienced in negotiating and drafting a wide range of business arrangements, including joint venture agreements, executive employment contracts, licensing, distribution and marketing agreements, web site and mobile terms of use and privacy policies, and various general corporate and commercial contracts for companies in a variety of industries. - I advise clients on the intellectual property matters, how to create and protect it. I have substantial experience in trademark prosecution and litigation, filing copyright applications, non-disclosure and confidentiality agreements to protect trade secrets, IP licensing agreements, including software licensing agreements, IP assignment agreements for intellectual property transfers, invention assignment agreements for employees and founders.- I have significant experience helping clients structure crypto-related offerings to comply with the securities laws, including conducting private and public ICOs and structuring crypto-funds. - My firm also provides commercial and IP/patent litigation services for local and international clients. Our recent results include successful defense of a civil RICO action against a Russian consulting firm; dismissal of a lawsuit against a Japanese defense contractor; $12 million judgment against a Japanese tech company executive; defense of a patent infringement action against a biopharma co.
