Responsible for all legal and contractual aspects of corporate and investment banking transactions including corporate finance and M&A transactions, public offers and listings across Europe, rights issues, security agent transactions, tender offers and exchange offers, debt capital markets transactions including high yield offers, convertible and exchangeable bonds. Responsible for coordinating the Corporate Finance and Capital Markets Legal team in Italy and coordinated and steered UniCredit’s Foreign Branches legal teams (Madrid, Paris, Abu Dhabi, Shanghai, Luxembourg, London, Vienna). Member of the Capital Markets and Corporate Finance Committees of UniCredit providing general legal, regulatory and corporate governance support to the top management. Managing outside counsel to ensure proper legal coverage and controlled legal costs. Structured, drafted and negotiated a wide range of agreements including non-disclosure agreements, underwriting and placement agreements, investment agreements, guarantees, engagement letters and agency agreements.

Advised major Italian and international banks and financial institutions on various offers and pricing of equity and debt instruments, capital increases, IPOs, ABBs, takeover bids, structuring of debt and certificates offerings, as well as corporate transactions involving both listed and non-listed Italian and foreign companies. Legal assistance to international and domestic clients in the context of m&a transactions advising also on a day-by-day basis top Italian listed companies on information activities to the relevant regulator entity preparing, among others, the documentation required for board of directors and shareholders meetings. Advised corporate and financial institutions on regulatory matters. Prepared and analyzed complex legal documents. Drafted and negotiated a wide range of contracts and memoranda on regulatory matters, securities law, contract law and corporate governance. Coordinated effectively legal team in domestic and cross-border transactions.

Involved in a wide range of debt and equity public offerings and listings as well as tender and exchange offers of securities for both Italian and international clients. Some of the most important deals include primary involvement in the structuring of debt and equity offerings, including establishment of debt and certificates programmes, for inter alia, Bank of America Merrill Lynch, Goldman Sachs, J.P. Morgan, Morgan Stanley, BNP Paribas, CitiGroup, UniCredit, Credit Suisse, Barclays, Deutsche Bank and Enel.

Worked on domestic and cross-border transactions including public offerings and listings of securities in Italy and structuring of debt emission transactions.

Advised both domestic and foreign private equity clients on a wide range of commercial and corporate transactions including mergers, acquisitions and joint ventures. Conducted legal research and drafted memoranda on corporate governance, securities regulation, M&A.
