Within the year, restored viability and profitability, transforming this business and doubling its valuation within three years (Cost was $300K at the end of year three with an independent valuation of $8M).ACHIEVED IN THIS ROLEMERGERS & ACQUISITIONS / ACQUISITION DUE DILIGENCE• I was challenged by the Chairman to lead the due diligence process with Metech. Over the following 90 days, toured facilities, interviewed employees, assessed liability, and drafted the purchasing and business plans. I then partnered with a CPA to stabilize the financials, wrote off $11M in debt, and analyzed P&L statements while negotiating terms. EBIT GROWTH / COST REDUCTIONS / VENDOR NEGOTIATIONS• Metech employed an ineffective vendor negotiations strategy. As a result, leases were overweight, leaving the company with double the space needed for inventory. This resulted in penalties for overdue payments and threats of lawsuits. Over 60 days, I met with landlords to restore Metech’s reputation, assessed lease values, led negotiations, and crafted payment structures. These efforts eliminated lawsuit threats, enabled greater credit extensions, and reduced warehousing expenses by 38%. This allowed Metech to pay off all debts ($1.8M) within 3 years, which included settling an environmental lawsuit that was negotiated from $3.5M to $310K.REGULATORY STRATEGY / RISK MITIGATION• Post-acquisition of Metech, I was summoned by the a California environmental regulatory agency to respond to ten violations at penalties of $3.5M. I demonstrated a plan to address all issues and negotiated to lower the fine to a settlement of $310K so the company could remain solvent and provide essential services to the community. All issues were remedied within six months, and within the year, all operating permits were reissued, as the regulatory agency now recognized Metech ascompliant and an essential business for the environment.FUNDRAISING / COVID-19 LEADERSHIP• As companies closed due to the pandemic, a strategy was necessary to maintain operational capacity and minimize business disruption. Personally built a plan within seven days, and over the next month, applied for SBA, EIDL, and PPPL for both Metech and FAMC, secured PPE supplies, empowered select employees to work remotely, and enforced safety guidelines to mitigate the spread of COVID-19. These efforts fostered safety and provided the business with a $2M tax-free loan and a $1M low-interest long-term loan to sustain operations.
