Tripled the aggregator service provider program for Facebook’s SMS team through a scalable legal template minimizing legal risk. On-boarded multiple operators and SMS service providers in India ensuring compliance with vague TRAI regulations. • Internet.org. Lead attorney on rapid international expansion of Facebook’s Free Basics application. Collaborated across functional areas including compliance, marketing, finance, partnerships and business development to draft and continuously update a legal template and functional processes surrounding agency use, co-marketing, and invoicing.

• Online Content/Digital Media. Negotiated VUDU’s distribution agreements with major CE Manufacturers and OEMs, including its then largest game console distribution partner. Negotiated VUDU’s content license agreements with all major and independent movie studios, accounting for various content protection standards, data transfer methods, royalty structures, and general license restrictions. Drafted and negotiated sponsorship and licensing agreements for live music concert series. Drafted digital download EULA outlining WMA and MP3 usage rules. Drafted and negotiated partnership agreement with ringtone service provider and negotiated ringtone license deal with major label. • Mobile. Developed legal and business strategy to launch mobile offering as a complement to physical and online retail presence. Negotiated agreements involving mobile coupons, voice recognition, bar code scanning, and in store mapping. Analyzed Terms of Use to maximize legal protections while minimize physical space on App.• Advertising. Negotiated outbound on-line ad placement, search, and comparison shopping agreements with internet publishers including Google, and Yahoo!, and in-bound ad placement partnership deals.• Privacy/Compliance. Drafted and updated privacy policies working with Wal-Mart Stores, Inc. Chief Privacy Officer to create consistent company-wide privacy policies.
