Independent Board Director
Current- Fitch Ratings is a globally regulated, major Credit Rating Agency and a Fitch Group subsidiary of Hearst Communications.As one of two Independent Directors:
- Meet frequently with global regulators—U.S.’s SEC, European Union’s ESMA, and U.K.’s FSA to review strategic initiatives and to address regulatory inquiries and priorities.
- Ensure the effectiveness of policies and operational internal controls required for the independence/robustness of credit ratings, compliance efforts governing conflicts of interest and impartiality of ratings.
- Execute regulatory requirement to monitor all credit ratings activities, including the development and implementation of credit rating criteria, processes, and procedures.
- Provide oversight of the Internal Audit (IA) function that reports to the two Independent Directors.
- Engage with senior management and the Board in strategic initiatives, e.g., digital Agile transformation expansion; employee engagement, training, compensation and succession planning; and, establishing measurements.
