CurrentFitch Ratings is a globally regulated, major Credit Rating Agency and a Fitch Group subsidiary of Hearst Communications.As one of two Independent Directors: • Meet frequently with global regulators—U.S.’s SEC, European Union’s ESMA, and U.K.’s FSA to review strategic initiatives and to address regulatory inquiries and priorities.• Ensure the effectiveness of policies and operational internal controls required for the independence/robustness of credit ratings, compliance efforts governing conflicts of interest and impartiality of ratings, incorporation of ESG factors in credit ratings, and protection of data and systems from cybersecurity risks.• Execute regulatory requirement to monitor all credit ratings activities, including the development and implementation of credit rating criteria, processes, and procedures.• Provide oversight of the Internal Audit (IA) function that reports to the two Independent Directors. • Engage with senior management and the Board in strategic initiatives, e.g., digital Agile transformation expansion; employee engagement, training, compensation and succession planning; and, establishing measurements for accountability.
