As a former member of Dentons’ Consumer Finance Regulatory Team in its Capital Markets practice, I regularly represented national mortgage lenders, servicers, Wall Street institutions, hedge funds, private equity funds, loan fulfillment providers, diligence companies, student lenders and secondary market participants before all federal and state regulators. In my position with Dentons' Capital Markets Consumer Finance Regulatory team, I interfaced with such federal and state regulatory agencies on behalf of my clients in connection with licensing, audits, examinations and enforcement actions, and I regularly provided support to my clients in maintaining compliance with complex regulatory demands. I have extensive experience in handling complex mortgage and financial services licensing matters and frequently counseled my clients with respect to entity formation, mergers and acquisitions and representation before state and federal regulators.

My practice involved the representation of investment banks and other financial institutions in a variety of financing and secondary market transactions, the majority of which were in excess of $1 billion. Representations included the purchase and sale of commercial, residential and multifamily mortgage loans, as well as structuring secured financing facilities and warehouse lines involving a variety of mortgage assets and other broadly syndicated loans. Offerings included equity, high yield debt, 144A and Regulation S offerings. I drafted, reviewed and negotiated prospectuses, underwriting agreements, indentures, true sale and non-consolidation opinions, accountant comfort letters, security agreements and mortgage loan purchase agreements. I conducted due diligence – as both underwriter’s and issuer’s counsel – in connection with several loan sales.
