I serve as counsel to individuals and companies on complex business litigation and investigations. My focus is on securities law matters, disputes arising from mergers and acquisitions and other commercial transactions. I also advise venture capital and private equity funds, and their sponsors, on a range of matters including risk management and legal compliance.I represent public companies in federal and state securities investigations and proceedings that are often highly publicized events or corporate crises. I specialize in financial restatements and matters requiring sophisticated accounting and financial reporting of revenue recognition, reserves, and the valuation of assets and instruments, among others.Regularly, I counsel companies, shareholder representatives and selling security holders, as plaintiffs or defendants in M&A disputes. These include contested post-closing earn-out and milestone completion payments and indemnification claims based on alleged breaches of contractual representations and warranties.
