CurrentThis course is primarily concerned with Title 11, United States Code as amended by the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 (BAPCPA). Some reference is made to previous bankruptcy laws for historical background purposes. An in-depth study is made of the statutory material relating to voluntary and involuntary bankruptcies under Chapter 7 (liquidation) and 11 (reorganizations) and interrelation of various sections of Title 11. The course also includes discussion of the important features of Chapter 13 bankruptcy and other operating chapters of the Bankruptcy Code.Don't you just love bankruptcy law? Responsibilities include working on all aspects of Chapter 11 corporate debtor representation from its inception to the entry of the final decree which involved, inter alia, drafting bankruptcy petitions, schedules, statements of financial affairs, first day motions, proposed disclosure statements and plan of reorganization, plan confirmation, and final decrees. I was highly involved in the administration of a Chapter 11 debtor’s bankruptcy case, including a debtor’s compliance with the United States Trustee’s disclosure and reporting requirements, and post-confirmation activities. I drafted various motions in connection with Chapter 11 debtor representation such as plan solicitation procedure motions, employment and fee applications, lease rejections, sale motions, final decree motions, objections to claims, and compromise motions. I appeared in court hearings relating to such motions when necessary.Represented clients in out-of-court workouts and debt restructuring including asset sales such as sale of intellectual property, and corporate dissolutions. Worked on corporate bankruptcy cases involving publicly traded corporations, small businesses, start-ups and high-tech companies. I reviewed and analyzed proofs of claim, carried out necessary objections and negotiations relating thereto, and participated in claims litigation. Worked on individual chapter 11 cases as debtor-counsel.Performed creditor defense work relating to avoidance actions. Successfully defended or negotiated settlements relating to preferential transfer claims against Enron trade creditors.Worked closely with partners and drafted several memoranda on bankruptcy issues specific to client’s financial situation.
