In this role I provided support to the Head of Legal in;• furthering the aims and objectives of the Governance Services function of Momentum Investments;• assisting with providing legal services for special projects within the Momentum Investments business;• ensuring that all internal contracting parties understand the content and implications of contracts proposed and/or entered into;• evaluating contracts relative to the abovementioned business understanding and advise the business of the implications of all contracts;• ensuring accurate and professional drafting and reviewing e.g. attention to detail, meeting deadlines and achievement of client satisfaction • drafting and reviewing agreements e.g. Portfolio Management Agreements, Investment Management Agreements, International Swaps and Derivatives Association Agreements, Custody Agreements, Broker Agreements, Credit Linked Notes, Note Programmes, Private Equity Structures, Third Party Agreements, Co-Naming Agreements etc.

I was responsible for the general legal framework in our Capital Markets Division. This included negotiating, drafting, vetting of general commercial legal contracts. I was also responsible for risk management within our division, which included enhancing, implementing and overseeing of legal processes and in particular processes relating to the Grindrod Investments Trust, which is a vesting trust geared to invest in Redeemable Preference shares.My role further involved relationship management and interacting with clients. Thus, the role included offering legal support as well as being in a front office position.

I was responsible for sourcing business from Standard Bank Corporate clients through the use of effective sales. The role included managing and marketing products to achieve agreed targets. I also had to build and maintain close relationships with the corporate and investment banking relationship managers and targeted clients to ensure an ongoing and sustainable flow of business.The role involved preparing and presenting business approval and credit committee papers and included gathering and submitting information about competitor activity and market developments.

This role involved legal compliance on contracts and legal documents: ensuring that legal documents drafted in respect of our security are perfected; ensuring that client has been informed in the event of unfamiliar circumstances and ensuring clients are FICA compliant; ensuring that the bank is secure in terms of contracts and ensuring that contracts entered into between the bank and its clients comply with applicable legal requirements and the bank’s security and credit requirements.The role also involved being an attorney liaison and generally managing the attorneys on the bank's panel. The role also required me to maintain close relations with credit, valuations, retail treasury, and internal and external consultants within the bank.

I was involved in general litigation and I acted a liaison with corporate clients, law firms and government institutions. I assisted in drafting various agreements including settlement agreements, acknowledgement of debt, sale of shares and secretaryship agreements. I was involved in drafting general correspondence, drafting of pleadings, notices and affidavits relating to matters of litigation in both the high court and magistrates court. I was involved in briefing and consulting with advocates in preparation for trials in the High court. I also attended high court trial proceedings and appeared in magistrates’ court proceedings to move applications and arguing thereof.

I was involved in Deeds office procedure and searches, execution of transfer and bond documents, liaising with and taking instructions from clients. I was also responsible for the administration of deceased estates.
