Draft and negotiate a variety of agreements, including, without limitation, recording, merchandising, fan club and collateral entertainment activities agreements as well as consulting, producer, video production, product placement, licensing, distribution, management, soundtrack, and various digital services agreements. Work with brand licensing agents to structure deals for marketing transactions. Draft contest and sweepstakes rules and supervise contest and sweepstakes administration. Review content for legal issues, including music video treatments, music videos, product packaging and merchandise items. Review royalty statements, and profit and loss reports. Respond to internal inquiries about rights, obligations and restrictions imposed under company agreements. Supervise legal interns and attend production meetings.

Drafted and negotiated a variety of agreements for an independent entertainment company, including, without limitation, recording, publishing, digital services/distribution, mobile content license and other new media exploitation, master use, mechanical and synchronization license, website services, independent contractor services, music and video production, trademark license, content acquisition, non-disclosure, media buying and audio and visual distribution agreements. Reviewed audio and video properties, promotional materials, product packaging, contest rules and other materials for legal issues. Responded to internal inquiries about rights, obligations and restrictions imposed under company agreements. Reviewed accounting statements. Drafted pleadings, conduct litigation and settlement negotiations. Supervised and coordinated with outside counsel on litigation and general corporate matters. Attended business development meetings and evaluated the viability of perspective business opportunities.

Researched and wrote memoranda on copyright, trademark, patent and RICO issues. Drafted and edited client correspondence, trial motion and pleadings, including for discovery and partial summary judgment. Assisted in trial preparations. Performed document review in major litigations. Reviewed and summarized deposition transcripts. Attended depositions and client meetings. As a summer associate from May 2002 – Aug. 2002 and as a law clerk from Sept. 2002 – Dec. 2002, researched and wrote memoranda on special education laws, general corporate litigation issues, employment issues and supervised Legal Outreach internship program. Participated in “due diligence” review for major corporate transactions and in mock trial program.

Taught a course titled “Popular Music in The Music Industry” that covered music industry and copyright law basics to thirty upper-level Media majors. Coordinated guest speakers, including recording artists, prominent promoters, and independent and major label executives. Drafted, administered and evaluated all student assignments and exams and evaluated oral and written projects.
