Contracted to assist the litigation and regulatory team on a large contentious regulatory matter for an international bank.

Litigation:• Responsible for the carriage of Magistrates Court and District Court matters• Appearing, unsupervised, in directions hearings, chambers summons applications, mediations and listing conferences in Magistrates Court and District Court• Drafting and reviewing pleadings in Magistrates, District, Supreme and Federal Court matters• Draft Briefs to Counsel, proofs of evidence, witness statements• Instructing Solicitor in Supreme Court proceedings and chambers applications• Enforcing judgmentsCommercial Law:• Mergers and Acquisitions • Referral and Distribution Agreements• Franchising - drafting and reviewing all documents necessary under the Competition and Consumer (Industry Codes - Franchising) Regulation 2014 (Cth)• Loans and related security agreements• Intellectual Property, including Confidentiality Agreements, Privacy Policies, Licences and Support Services agreementsCorporate Law:• Incorporation:(a) Advising clients on company details, structuring and on Corporations Act 2001 (Cth) generally(b) Drafting and reviewing company constitution• Drafting Shareholder Agreements• Drafting resolutions, minutes and ASIC forms for:(a) Resignation and appointment of directors and alternate directors(b) Changes to company details, such as share structure• Corporate structuring, including(a) Structuring business acquisitions(b) Self Managed Superannuation Fund structuring• Director disputes• Corporate governance advice• Advising on Liquidator's actions under Parts 5.5 and 5.6 of the Corporations Act 2001 (Cth)Property:• Commercial Leases - Drafting, varying and assigning commercial leases • Sale of commercial property, such as a country hotel and associated land• Drafting real property security agreements• Drafting and lodging Landgate documents• Property Disputes, such as actions for the possession of land and removal of caveats.

I was responsible for ensuring a number of projects get completed. These projects are focused on property development and liquor licensing.
