Legal:· Provide legal advice to the Board of Directors for legal issues regarding to corporation and investment; Prepare Decision, Resolution, Meeting Minutes and other administrative documents for Board of Management and Board of Director.· Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.) for Departments in the Company/ Subsidiaries.· Conduct work with integrity and full responsibility in protecting confidential business information.· Research, evaluate different risk factors and deal with complex matters regarding business decisions with stakeholders and external parties (regulators, external counsel, public authority etc.)· Purchase insurance for the assets of the Company/Subsidiaries and liaise with insurance providers to negotiate settlement of accidents· Update Business Registration Certificate as necessary, fill and record all legal documentaries and other certificates, licenses of the Company.Contract:· Analyze the contract terms and identify areas of possible risks and opportunities related to the application of contract clauses.· Provide alternate mitigating contract articles and successfully negotiate with customers with compelling arguments.· Contract administration during project execution, ensuring that all aspects of the contract during the bidding and execution phase are addressed with the objective of contributing to maximize project revenues.· Liaise with project team, participate to meetings, examine drafts, revise and file all correspondence having a contractual relevance exchanged during project execution with clients/subcontractors/authorities...· Manage the change order process from identification to resolution of change: prepare, interfacing with involved functions, and negotiate any claims against or from client, joint-venture partners and subcontractors.. Update tracking record for all kind of contracts.
