Following Hampson Industries going into administration, I was made redundant.

Facilitated a number of acquisitions and disposals of both UK and US companies by Hampson; ensuring absolute confidentiality and that the stringent regulatory timescales were met; assisted in the drafting, proof reading and verification of all shareholder documents, in particular the Prospectus/Circular; drafting and submitting Stock Exchange announcementsCreation of an independent Secretarial Department, providing full company secretarial services at PLC, Group and subsidiary company levelsFacilitated the £530 million take-over of T&S Stores by Tesco, ensured absolute confidentiality and that the stringent regulatory timescales were met; provided detailed due diligence information; assisted in the drafting, proof reading and verification of all shareholder documents, in particular the Offer Document; drafting and submitting Stock Exchange announcements and project managed the de-listing process.Project managed the legal re-structuring of the T&S Stores Group following the take-over, briefed solicitors and other external advisers and liaised with them to achieve the hive across of businesses, transfer of assets, property and staff within the demanding timescales set down by TescoThe setting up and management of various share based incentive schemes both at T&S and Hampson. Following the take-over of T&S, closing down the schemes in operation including formulating and putting into action the complex arrangements required to ensure that awards were cancelled or converted as required, shares sold as appropriate and ensured that all participants received either sale proceeds or cancellation payments in an accurate and timely manner and that all relevant payments were made to HMRC.
