EWC’s franchise and distribution business employs 300+ employees throughout its corporate team and supports 10,000+ franchise stakeholders’ network wide. In 2019, EWC generated network wide revenues of ~$700M.As a senior member of the Executive Leadership Team, provided strategic leadership, guidance, and support on business matters, including, franchise operations, commercial relationships, capital financings, real estate matters, customer experience, growth opportunities, internal and external communications, and people and talent.As Chief Counsel, built the infrastructure that helped build, shape, and direct the full scope of legal operations for EWC’s franchise and distribution business. Managed a team of attorneys and support staff, created processes, policy, forms, and standard operating procedures while overseeing all legal matters, including, all aspects of franchising, labor and employment, litigation, procurement, real estate, governance, privacy, tax, and intellectual property. Routinely worked cross-functionally with finance, accounting, supply chain, talent, marketing, technology, and franchise operations. Started working closely with EWC as outside counsel in 2009 when the brand had less than 50 locations. Transitioned in-house in 2015 when the brand had 500+ locations nationwide. Key Accomplishments and Achievements• Raised debt and equity capital through a multi-faceted capital raise process culminating in the sale of a controlling membership interest to General Atlantic. Participated in management presentations to top consumer-focused private equity firms and potential debt investors, worked with investment bankers on deal process, & negotiated all operative deal documents with outside counsel supporting all phases of the transactions.

Focusing on the middle market, served as trusted client advisor and outside corporate counsel to CEOs, CFOs, corporate legal departments, 501(c)(3) organizations, and others by providing comprehensive analysis, direction, and legal counsel for complex commercial and merger and acquisition transactions, private equity, joint ventures, and corporate compliance. Member of the Corporate, Technology and Emerging Companies, and Tax practice groups at various times during tenure.Served as outside general counsel for European Wax Center.
