Responsible for legal, regulatory, HR and facilities management affairs for publicly-traded, Connecticut-based national provider of telecommunications services to businesses, including high-speed data services and voice-over-Internet protocol, or VoIP.Joined this entrepreneurial telecom following its initial public offerings, and quickly assimilated into a management role, earning several promotions, and, as part of a dedicated management team, helped guide its evolution from growth cycle through “going private” merger that ceased its legal existence in 2007.Worked as a member of executive team to develop and implement corporate strategy; served as legal advisor to management and the Board of Directors, including guiding the company as a distressed entity through its pursuit of strategic and financing alternatives; responsible for the company’s Legal, Regulatory, HR and Procurement and Facilities departments, including the company’s private debt, equity and lease financings (including structuring and negotiating complex financings to achieve corporate goals and Board’s fulfillment of its fiduciary duties); SEC filings and securities laws compliance; disclosure matters; mergers and acquisitions; strategic partnerships; commercial contracts; sales and marketing materials; litigation management and lawsuit avoidance; corporate governance and establishment of corporate controls (relating to the Sarbanes-Oxley Act); employment matters, including equity compensation and benefit plans and multiple workforce restructurings; telecommunications regulatory matters; and intellectual property matters.
