From 2020 to 2021, I served as EVP, Chief Legal Officer and Secretary of Next Frontier Holdings, a consumer goods company focused on building an international portfolio of influential beverage and wellness brands. During my tenure, Next Frontier Holdings raised over $25 million in convertible debt and equity financing and completed the acquisition of 8 beverage and wellness companies, including Next Frontier Biosciences (my prior company based in Colorado), KonaRed (a premium coffee brand based in Colorado), Bottomley Distillers (a distillery and makers of the PinGin and RumCat spirits brands based in the UK), MUHU (a CBD-infused spirits brand based in the UK), Treehouse Biosciences (a cannabinoid science and manufacturing company based in Colorado), Fluere (a non-alcoholic distilled spirits brand based in the Netherlands), and Snow Leopard Vodka (a premium spirits brand based in the UK), with 6 additional acquisitions pending in the US, UK and Australia at the time of my departure.

From 2014 to 2020, I was co-founder and CEO of Next Frontier Biosciences, a startup biotech company focused on developing and commercializing pharmaceutical-grade cannabinoid products for the state-legal cannabis market. During this time, I was responsible for leading the development and execution of the company's long-term strategy, corporate development initiatives, and day-to-day operations. Under my leadership, Next Frontier Biosciences raised over $10 million in equity financing from an A+ list of angel investors, built a state-of-the-art scientific laboratory, and developed and launched the Verra Wellness brand of cannabinoid nasal sprays, sublingual sprays and topical salves in Colorado and California. I also served on the Colorado Marijuana Enforcement Division's rulemaking committee for alternative use cannabis products. In early 2020, Next Frontier Biosciences was sold to HHL Holdings Inc (which was later renamed as Next Frontier Holdings Inc) in a stock-for-stock merger.

From 2012 to 2014, I served as Managing Member of CytoBiotics, LLC, a medical device startup focused on developing a unique site-specific unit-dose disposable cartridge designed for accurate and consistent placement of prefilled viscous medications including dry powders.Notable Achievements:• Strategic Planning: Developed business plan for drug-device combination product for the treatment of chronic periodontitis; formulated clinical, regulatory, manufacturing and commercialization strategies and tactics; developed financial projections and valuation model; completed feasibility assessment.• Business Development: Managed vendor relationships; developed corporate presentation; identified and presented business case to potential investors, investment bankers and strategic partners.

From 2004 to 2012, I served as SVP, General Counsel and Secretary of Allos Therapeutics, Inc., a Nasdaq listed biotech company that I helped take public in 2000. During my tenure, Allos in-licensed pralatrexate from Memorial-Sloan University, took it through clinical trials, and obtained FDA approval for FOLOTYN(R) (pralatrexate injection) for the treatment of relapsed or refractory peripheral T-cell lymphoma. In this role, I served as the senior legal executive responsible for managing all legal and compliance matters, including those related to corporate governance, research and development, sales and marketing, manufacturing, intellectual property, business development, corporate finance, securities, investor relations and employment law. I led a three-person legal department with a $3 million annual operating budget and was a key team member and legal advisor on all major financings and business transactions, including a $50 million PIPE financing by Warburg Pincus, $360 million in public offerings, a $360 million strategic collaboration with Mundipharma International and a $200 million acquisition by Spectrum Pharmaceuticals. During this time, I also served as chief compliance officer of the company, responsible for leading a cross-functional team in connection with development, implementation and operation of comprehensive compliance program, including code of conduct, healthcare compliance policies, and training programs.

From 1996 to 2004, I was a corporate finance and securities attorney with several national law firms, including Cooley, Perkins Coie, LeBoeuf Lamb, and Arnold & Porter, where I focused my practice on the representation of emerging growth companies and the investors that support them. During this time, I advised start-ups, venture-backed companies, public companies, venture capital funds and private equity funds across a variety of industries, including biotechnology, medical devices, information technology and communications. I gained a broad range of experience, including private placement and venture capital transactions, public offerings, intellectual property licensing transactions, public and private mergers and acquisitions, employee compensation plans, SEC reporting and disclosure, corporate governance, and general corporate matters. After 8 years, I left private practice to become SVP, General Counsel of Allos Therapeutics Inc, one of my clients that I helped take public in 2000.
