- Supporting Company’s CE Ethics & Compliance - drafting & implementing Company’s bylaws, policies, procedures, guidelines, manuals (Code of Business Conduct, UK Anti-Bribery Act, Anti - Corruption Anti-Fraud documents, gift and entertainment procedures, Competition procedures, pushback process, dawn raid etc.), drafting Risk Assessments, Risk Registers, building communication and rising awareness among employees (organizing e-learnings, face two face meetings), rendering advices in compliance issues, manages the ongoing tasks of compliance, collaborating with CE region (Slovakia, Czech, Hungary) and UK ;- Supporting CE Group Procurement, CE Revenue Generation (CE Suppliers Engagement) - drafting and reviewing contracts in Polish and English with suppliers and partners (contractual obligations, intellectual property rights, data privacy, indemnities, warranties and disclaimers, TUPE provisions, waivers, assignments, termination, remuneration issues, contractual penalties etc.), supporting negotiation process, participation in meetings with contractors, protecting and supporting Client’s business by designing and implementing the optimal legal framework;- Coordinating Company’s Corporate Department, providing corporate legal services for the Company’s authorities (minutes – English only, setting up/winding up companies, increasing share capitals, shares transfers, due diligence process, financial statements, proceedings in the National Court Register),• Providing full legal services for the Tesco’s subsidiary companies (all legal areas), • Providing comprehensive legal services for HR department (termination of employment contracts, issues according trade unions, drafting legal opinions, legal advice, management of employee litigation etc.) • Close cooperation with Company’s head office in London, its offices and legal teams in different countries (Slovakia, Czech Republic, Hungary), • Cooperation with notaries, law firms, public administrations etc.
