I advise and counsel domestic, foreign and alien insurers, reinsurers, agents, brokers, third-party administrators, private equity firms and hedge funds on public offerings, private placements, domestications, mergers, redomestications, demutualizations, corporate governance and regulatory issues, mergers, acquisitions and divestitures. I am a member of the boards of directors of several insurance companies. I am experienced with state laws that impact insurance companies and businesses that do business with insurance companies. I regularly advise clients on regulatory matters, including investment limitations, market conduct and financial examinations, compensation of producers, holding company compliance, excess and surplus lines, licensing and the organization of subsidiaries and US branches. I also advise companies and educational institutions on self-funding and captive insurance alternatives – including playing a key role in the creation of a law enabling self-funding of student health plans on behalf of some of New York's largest private universities. I have worked with and structured reciprocal exchanges and can navigate the unique regulatory issues associated with them.I counsel domestic, foreign and alien insurance companies on state laws that govern their operations. I assist these companies with policy wordings, corporate finance transactions, reinsurance contracts, cut-through endorsements, commutations, rate and form filings and distressed asset situations. I was responsible for the first listing of an alien insurance company on the New York Stock Exchange.I am conversant in marine protect and indemnity as well as art insurance law.In addition, I handle a variety of private client matters, including the separation of business interests and multi-generation planning. I assist family-owned mid-cap and large insurance companies in succession planning. I lecture and write on corporate governance, insurance law and regulation and the responsibilities of directors of insurers. I advise property, casualty, surplus lines, financial guaranty, surety, title, health and life insurers.
