In Summum I worked with two basic areas of practice, Commercial Contracts and Corporate Law.In the area of Commercial Contracts, I was responsible for providing legal support during bidding processes in the engineering and construction areas before private and public clients, including review and formulation of legal comments on terms of reference, minutes of contracts and other documents with legal content in Colombia and Latin America. As part of this legal support, I was in charge of drafting and negotiating partnerships, consortiums and preliminary agreements related to contractual competitive processes locally and abroad; providing advice to operational areas on legal aspects derived from the performance of contracts, drafting complaints and legal responses to requests from clients or suppliers.Also, as part of this legal support, I was in charge of structuring legal aspects of the companies’ supply chain, including projects and administrative affairs. Specifically, in charge of providing legal support for the procurement of goods and services, and negotiating legal issues derived from procurement processes of goods and services with local and foreign suppliers.In the area of Corporate Law, I was accountable of the legal management of local and foreign companies owned by Summum and I coordinated legal counsels in Latin America, Europe and BVI, on legal advice in each jurisdiction where Summum had legal entities incorporated. As part of the legal management of these companies, I acted as Secretary of general shareholders assemblies and board of directors, I was in charge of keeping records of meeting minutes and board resolutions, and I was responsible of the incorporation and dissolution of local and foreign companies, statutory amendments, review and drafting of public deeds and update of corporate books.

In SNC-Lavalin I worked with three main areas of practice: Contracts, Corporate Law and Foreign Exchange Law.In the area of Contracts, I was accountable of reviewing and analizing terms of reference, contracts, and contractual documents related to EPC, EPCM, engineering and consultancy projects. These projects took place in the areas of infrastructure and construction, and hydrocarbons and chemicals, for projects performed both in Colombia and abroad (Peru, Ecuador, Brazil and Argentina). As Chief of Contracts, I was in charge of coordinating other in-house lawyers regarding strategies and negotiation of contracts.As to Corporate Law aspects, I was member of the company’s corporate legal department worldwide, coordinated from Canada. As part of this team, I was involved with statutory amendments (including change of corporate nature and merge of companies within the group), during a period of time I was accountable of public registries according to local proceedings and provided legal support for SNC-Lavalin’s companies in Colombia. During my first months in the company, I was in charge of reviewing, amending and updating the foreign investment registry of SNC-Lavalin’s companies in Colombia before local authorities.

In Cahn-Speyer, Paredes & Asociados, a legal firm established in 1979, I worked in the areas of Commercial Law, Corporate Law and Foreign Exchange Law.In the area of Commercial Law, I provided legal advice to local and international companies, regarding commercial contracts in Colombia, and was in charge of drafting and negotiating contracts and other legal documents for private clients, in the areas of real state, distribution, entertainment and foreign investment, among others.In the area of Corporate Law, I worked with the incorporation, capitalization and restructuring of national and foreign companies, including a spin-off and split-off operation of one of the biggest construction companies in Colombia.In the area of Foreign Exchange Law, I provided legal advice in transactions involving foreign investment in Colombia and was responsible for keeping clients’ foreign investment registries duly updated before the local authorities according to local regulation.
