-Secretary of the Board of Directors in charge with all the activities to be carried out in connection with the correct functioning of corporate bodies (ie: convening of meetings of Board of Directors, ordinary and extraordinary Shareholders' meetings and drafting of the related minutes; management of all related filings with the company registry)-Support to the AFC Department of the Company on matters concerning bank and shareholder loans, bonds and securities, warrants, share capital increases and reporting to Statutory and indipendent auditors- Advice and legal assistance in extraordinary M&A and private equity operations of the Group-- Legal assistance to relevant divisions of the Company for the participation in public procedures (tenders, direct assignments, submission of offers on the MEPA e-procurement portal, drafting of declarations and documents to be submitted to Private and Public Authorities, incorporation of corporate investment vehicles and joint ventures with third parties and negotiation and drafting of any related partnership and supply agreements, etc.).

- Negotiation and drafting of sale, purchase, lease, joint ventures and global investment agreements concerning real estate assets and/or investment agreements- Co-ordination of group governing bodies and drafting of relevant corporate documentation, minutes of shareholders and directors meetings concerning the holding and its subsidiaries - Provision of legal advise and support in M&A and private equity operations (ie: due diligence activities, drafting of quota and stock purchase agreements, memorandum, legal opinions, etc.), including the constitution of corporate investment vehicles- Provision of legal support on Group’s structured banking operations concerning the acquisition of real estate assets- Assistance in the development of luxury hotels projects with international leading hotel brands involving both national and foreign investors.- Management of all litigation concerning the holding and its subsidiaries, in co-operation with external lawyers

- Negotiation and drafting of national and international business contracts. Provision of legal advise and support in M&A and private equity operations.- General counselling services rendered in favour of private and public companies (i.e. participation to general meetings and meetings of the Board, co-ordination of governing bodies on behalf of corporate clients, drafting of minutes of meetings and shareholder agreements, etc.).- Legal opinions on corporate and commercial issues - Organization, management, supervision and auditing on corporate compliance systems concerning privacy and information security.- Legal opinions concerning to ITC law with particular refer to telecommunications, e-government, e-health, software copyright matters.
